TERMS OF SERVICE

Governing Law & Jurisdiction: These Terms of Service are governed by and construed in accordance with the laws of the State of Oklahoma, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Oklahoma County, Oklahoma. By using this platform, you consent to the personal jurisdiction of those courts.

1. Agreement to Terms

By accessing or using the Tax Revenue Manager platform ("TRMCRM," "the Platform," "we," "us," or "our") — including taxrevenuemanager.com, the TRMCRM subscriber dashboard, the TRMCRM Marketplace, and any associated products and services — you ("Subscriber," "User," or "you") agree to be legally bound by these Terms of Service ("Terms").

If you do not agree to these Terms in their entirety, you must immediately discontinue use of the Platform. Your continued use of any TRMCRM product or service constitutes acceptance of these Terms and any updates made to them.

These Terms constitute a binding legal agreement between you and Tax Revenue Manager, headquartered at 6221 W Wilshire Blvd, Suite 3, Oklahoma City, Oklahoma 73132.

2. Description of Services

TRMCRM is a subscription-based CRM, marketing automation, and business management platform designed for financial service professionals, including but not limited to tax preparers, credit repair specialists, bookkeepers, notaries, and financial educators.

Services provided under active subscriptions may include, depending on plan tier: two-way SMS and email communication, pipeline and CRM management, funnel and website building tools, social media management, reputation management, invoicing and payment processing, pre-built automation Snaps, the 52-Week RMM Playbook, and access to the TRMCRM Marketplace.

We reserve the right to modify, suspend, or discontinue any feature or service at any time, with or without notice, and without liability to subscribers beyond any prepaid subscription period.

3. Subscriptions, Billing & Cancellation

Subscription Plans

TRMCRM offers multiple subscription tiers billed on a monthly or annual basis. Current plan pricing is available at taxrevenuemanager.com/pricing. Prices are subject to change; however, subscribers who maintain active, uninterrupted subscriptions are eligible for grandfather pricing protection at the rate they originally subscribed.

Grandfather Pricing

Grandfather pricing is a rate lock available to active subscribers only. Grandfather status is permanently forfeited upon two (2) cancellations of the same subscription, regardless of the reason for cancellation. Once grandfather status is lost, the subscriber's account will be subject to the current market rate at the time of resubscription.

Billing

Subscriptions are billed in advance on a recurring basis (monthly or annual) to the payment method on file. You authorize TRMCRM to charge your payment method automatically at the start of each billing cycle. Failure to maintain a valid payment method may result in immediate suspension of platform access.

Refund Policy

All subscription fees are non-refundable. There are no refunds or credits for partial months, unused features, or early cancellation. Annual subscriptions are non-refundable after the initial 7-day period following the subscription start date.

Cancellation

You may cancel your subscription at any time through your account dashboard or by contacting support at (855) 581-4276. Cancellation takes effect at the end of the current billing period. Access to the platform continues until the end of the paid period. Note that cancellation counts toward your two-cancellation grandfather pricing limit.

4. Acceptable Use

By using TRMCRM, you agree to use the platform only for lawful purposes and in compliance with all applicable federal, Oklahoma state, and local laws and regulations. You agree not to:

*Use the platform to send spam, unsolicited communications, or messages that violate the Telephone Consumer Protection Act (TCPA), *CAN-SPAM Act, or any applicable federal or Oklahoma state law

*Use the platform to engage in any fraudulent, deceptive, or misleading business practices

*Collect or process personal data in violation of applicable privacy laws

*Attempt to gain unauthorized access to any part of the platform, its infrastructure, or any other user's account

*Upload or transmit any malicious code, viruses, or harmful content

*Reverse engineer, decompile, or attempt to extract source code from the platform

*Use TRMCRM to impersonate any person or entity or misrepresent your affiliation with any person or entity

*Violate any applicable law in the state of Oklahoma or under United States federal law

Violation of these acceptable use terms may result in immediate suspension or termination of your account without refund.

5. Intellectual Property — Strict Prohibition on Duplication

All content, materials, and proprietary assets available through the TRMCRM platform are the exclusive intellectual property of Tax Revenue Manager and are fully protected under federal copyright law and Oklahoma state law. Unauthorized use, reproduction, or distribution will be pursued to the maximum extent permitted by law.

The following are the exclusive property of Tax Revenue Manager and may not be copied, reproduced, distributed, sublicensed, resold, modified, or used in any derivative work without express written permission:

*The 52-Week Revenue Marketing Manager (RMM) Playbook and all associated weekly content, scripts, and campaign materials

*All Snaps, Snapshot automation bundles, workflow templates, and pre-built campaign sequences

*All email templates, SMS scripts, sales scripts, and follow-up sequences included with any subscription tier

*All course content, training materials, and educational resources, including the Black Label 1040 Tax Course

*All website copy, landing page templates, funnel structures, and blog content published under any TRMCRM brand

*The TRMCRM brand name, logo, visual identity, and all associated trade dress

*All platform code, design, architecture, and underlying technology

*All Marketplace products, including third-party Snaps distributed through TRMCRM

Subscriber License

Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to access and use TRMCRM's proprietary content and tools solely for your own internal business operations during the active term of your subscription. This license does not include the right to:

*Resell, sublicense, or redistribute any TRMCRM content or materials to third parties

*Use TRMCRM materials as the basis for a competing product or service

*Share login credentials or platform access with non-subscribers outside of authorized team account structures

*Export, download, or retain proprietary content beyond the scope of normal platform use after subscription termination

Enforcement

TRMCRM actively monitors for unauthorized use and duplication of its intellectual property. Any verified infringement will result in immediate account termination and may result in civil and/or criminal legal action under applicable federal copyright law (17 U.S.C. § 101 et seq.) and Oklahoma state law. We reserve all rights and remedies available under law and equity.

6. User Content

You retain ownership of all content you create, upload, or input into the TRMCRM platform ("User Content"), including your client contact data, custom campaigns, and business information. By using the platform, you grant TRMCRM a limited, non-exclusive, royalty-free license to access and process your User Content solely as necessary to provide the services described in these Terms.

You represent and warrant that your User Content does not violate any third-party rights, applicable law, or these Terms. You are solely responsible for the accuracy, legality, and appropriateness of all content you create or transmit through the platform.

7. Third-Party Integrations

TRMCRM integrates with third-party platforms including, but not limited to, TaxSlayer, OLT Pro, SendBlue, ClickUp, Stripe, PayPal, Square, QuickBooks, Facebook, Google, and others. Your use of these integrations is subject to the separate terms of service and privacy policies of each respective third party.

TRMCRM is not responsible for the performance, availability, or data practices of any third-party integration. We make no warranty that third-party integrations will be continuously available or function without interruption.

8. Disclaimer of Warranties

THE TRMCRM PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY OKLAHOMA AND FEDERAL LAW, WE DISCLAIM ALL WARRANTIES INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the platform will be uninterrupted, error-free, or free of harmful components. We do not warrant the accuracy or completeness of any content, tools, or materials provided through the platform.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY OKLAHOMA AND FEDERAL LAW, TRMCRM AND ITS OWNERS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES — ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL TRMCRM'S TOTAL CUMULATIVE LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID TO TRMCRM IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Tax Revenue Manager and its officers, directors, employees, agents, and successors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the platform; (b) your violation of these Terms; (c) your violation of any applicable law or third-party rights; or (d) any User Content you submit or transmit through the platform.

11. Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or your use of the TRMCRM platform, the parties agree to first attempt to resolve the matter through good-faith negotiation by contacting TRMCRM directly at (855) 581-4276.

If the dispute cannot be resolved through negotiation within 30 days, the parties agree that any legal action shall be brought exclusively in the state or federal courts of Oklahoma County, Oklahoma. Both parties consent to the personal jurisdiction and venue of those courts and waive any objection to such jurisdiction.

These Terms and any dispute arising hereunder shall be governed by the laws of the State of Oklahoma, without regard to its conflict of law rules.

12. Termination

TRMCRM reserves the right to suspend or terminate your account and access to the platform at any time, with or without notice, for any violation of these Terms, non-payment, fraudulent activity, or behavior that we determine to be harmful to other users, the platform, or TRMCRM's reputation.

Upon termination, your license to use the platform and all proprietary content immediately ceases. You must stop using and delete any TRMCRM proprietary materials in your possession. Sections 5 (Intellectual Property), 8 (Disclaimer of Warranties), 9 (Limitation of Liability), 10 (Indemnification), and 11 (Dispute Resolution) survive termination of these Terms.

13. Modifications to These Terms

We reserve the right to modify these Terms at any time. When material changes are made, we will update the "Last Updated" date at the top of this page and notify active subscribers by email or in-platform notification. Your continued use of the platform after the effective date of any modification constitutes your acceptance of the revised Terms.

If you do not agree to the modified Terms, you must cancel your subscription prior to the effective date of the change.

14. Entire Agreement

These Terms of Service, together with our Privacy Policy and any additional agreements or policies referenced herein, constitute the entire agreement between you and Tax Revenue Manager with respect to the TRMCRM platform and supersede all prior agreements, representations, or understandings, whether written or oral.

If any provision of these Terms is found to be unenforceable under Oklahoma or federal law, the remaining provisions shall remain in full force and effect.
